Promotion

The Money For Your Thoughts Promotion (the “Promotion”) is a limited time campaign that begins on August 16, 2023 at 12:00 AM ET and ends on November 8, 2023 at 11:59 PM ET (the “Promotional
Period”).

This Promotion is offered by MoneyLion Technologies Inc. (together with its affiliates, “MoneyLion”), P.O. Box 1547, Sandy, Utah 84091-1547. MoneyLion will be the official timekeeper for the Promotion.

Eligibility

This Promotion is available to any registered MoneyLion user who is a legal resident of the 50 United States or the District of Columbia and who has reached the age of majority in their state as of the beginning of the Promotional Period.

Employees, officers and directors of MoneyLion and its respective franchisees, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this Promotion (collectively, “Released Parties”), and the members of the immediate families or households of any of the above, are not eligible to participate in this Promotion.

Participants (as defined below) must have a valid registered Instagram, Facebook and/or TikTok account, as applicable, and must comply with the Instagram, Facebook and/or TikTok terms of use/service in order to enter the Promotion via Instagram, Facebook and/or TikTok. The Participant’s Instagram, Facebook and/or TikTok account(s), as applicable, must be set to “Public” in order to be eligible.

Promotion Requirements

In order to enter into the Promotion (as defined below), a participant (a “Participant”) must complete each of the following actions during the Promotion Period (the “Qualifying Actions”), in each case in accordance with these Terms and Conditions:

	Qualifying Actions
1	Produce one (1) video (each, “User Content”) with a minimum length of five (5) seconds (0:05) responding to the applicable prompt set forth in the then current MoneyLion social media post regarding the Promotion. The relevant prompt for the User Content will change during each month during the Promotion Period, as described further in official MoneyLion communications regarding the Promotion. Failure to respond to the current active prompt for the Promotion will result in an ineligible submission.
2	Post the User Content on the Participant’s personal Instagram, Facebook or TikTok account (the “Post”). The Post caption must contain (A) the Participant’s $RoarTag or the personal referral code associated with Participant’s registered MoneyLion account and (B) use the hashtag “#MLReferrals.”

On or around the end of each week of the Promotional Period, MoneyLion will select up to five (5) Participants (the “Winners”) to win a prize of $55.00 (USD) (the “Reward”). The Winners will be selected based on the quality and creativity of the posted User Content in responding to the prompt, as determined by MoneyLion in its sole and absolute discretion. Up to sixty (60) Winners will be selected by MoneyLion to win the Reward for this Promotion in aggregate.

Potential Winners will be notified via direct message on Instagram, Facebook or TikTok, as applicable, and confirmed via email. Winners may be required to complete and sign an Affidavit of Eligibility and Liability/Publicity Release form, which will be provided to them by Moneylion or its agent, to be returned within two (2) business days of written notification, or the Reward may be forfeited and, at MoneyLion’s discretion, an alternate Winner selected. If a potential Winner fails to respond to MoneyLion’s notification within two (2) business days of the initial contact by MoneyLion, then such person may be disqualified and an alternate Winner may be awarded the Reward.

Winners with RoarMoney accounts will receive their Reward credited to their open RoarMoney account within fourteen (14) calendar days of winning the Reward, subject to any delays or other circumstances which may delay the deposit of any Reward. Winners will have the option to receive a check made payable to his/her/their order in lieu of the credit into the Winner’s RoarMoney account if he/she/they do not have an open RoarMoney account. Any Winner that does not have an open RoarMoney account will be required to complete a Form W-9 within two (2) business days of notification or will be disqualified from receiving the Reward.

Participants are permitted to create more than one (1) Post with the same or different User Content, provided that each Participant is eligible to win only one (1) total Reward under this Promotion. Once the Participant has received the Reward, or if the Promotion Period passes and the Participant did not complete all of the required Qualifying Actions, then the Participant is no longer eligible to participate in this Promotion.

User Content Guidelines

The following guidelines apply to all User Content submitted in connection with this Promotion in order to be eligible for a Reward:

User Content must be original. The Participant must have secured all rights, permissions and/or clearances for the User Content before submission and cannot violate the rights of privacy or publicity of any person.
User Content cannot reference or contain materials embodying copyrighted images, names, likenesses or other indicia identifying any brand, products, company or person, living or dead, without permission.
User Content cannot contain any personal information, including but not limited to full names, phone numbers, email addresses, license plate numbers or street addresses.
User Content cannot defame, misrepresent (including inappropriate depictions) or contain disparaging or negative remarks about people, brands, products or companies.
User Content cannot contain content that is irrelevant to the purpose of the Promotion and cannot communicate messages or images inconsistent with the positive images and/or goodwill to which MoneyLion, in its sole and absolute discretion, wishes to associate.
User Content cannot (a) be profane, pornographic, sexually explicit or suggestive or contain nudity; (b) be violent or contain or promote firearms/weapons, alcohol, illegal drugs or tobacco; (c) depict illegal activity or itself be in violation of any law; (d) be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious, professional or age group; or (e) be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious, professional or age group.

By submitting User Content through the Post, the Participant understands and agrees to all of these Terms and Conditions and represents and warrants to MoneyLion that it is in compliance with all of these Terms and Conditions. Furthermore, by submitting User Content through the Post, each selected Winner understands and grants to MoneyLion an irrevocable, perpetual, non-exclusive worldwide license to use his/her User Content and/or Post on MoneyLion’s mobile application, websites and social media sites and in advertising and/or promotional activities worldwide, without any further compensation, permission or notification. MoneyLion reserves the right in its sole and absolute discretion to alter, change or modify any Winner’s User Content that it uses, which includes any photo, video or text.

Miscellaneous

MoneyLion will issue each Participant any applicable tax forms if required by law. Reward recipients are solely responsible for any federal, state or local taxes that may be associated with receiving a Reward, and should consult with their own financial, tax and/or legal advisor(s) regarding the same.

In its sole discretion, MoneyLion may change or terminate this Promotion at any time without notice to you. MoneyLion reserves the right to review and disqualify, at any time and in its sole discretion, any Participant from participating in this Promotion if they do not comply with these Terms and Conditions or otherwise receive a Reward in a manner inconsistent with these Promotion terms. MoneyLion further reserves the right not to honor and/or seek return and/or reimbursement of any Reward which, in MoneyLion’s sole discretion, was solicited in a manner inconsistent with these Terms and Conditions. MoneyLion may choose to withhold or claw back any Reward that a purported Winner may receive under this Promotion if MoneyLion believes that they engaged in fraud, did not satisfy the eligibility requirements or violated these Terms and Conditions.

By accepting the Reward, the Participant agrees to fully release the Released Parties from any and all liability whatsoever for any injuries, losses or damages of any kind by participating in this Promotion or in connection with the Reward, including acceptance, possession or use/misuse of the Reward.
