Sweepstakes Name: MoneyLion Games – PlayStation 5 Sweepstakes (the “Sweepstakes”).

Sponsor: MoneyLion Technologies Inc. (“Sponsor”), P.O. Box 1547, Sandy, Utah 84091-1547.

Sweepstakes Period: This Sweepstakes began at 12:00:00 a.m. ET on December 9, 2024 and ends at 11:59:59 p.m. ET on December 15, 2024 (the “Sweepstakes Period”). Sponsor’s computer clock will be the official timekeeper for the Sweepstakes.

Eligibility Requirements: The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void outside the fifty (50) United States and the District of Columbia (“D.C.”) and wherever prohibited or restricted by law. The Sweepstakes is open only to registered MoneyLion users who are legal residents of the fifty (50) United States and D.C. and have reached the age of majority in their states of residence as of the date of entry (each, an “Eligible Participant”).

The following classes of persons are not eligible to enter the Sweepstakes: Employees, officers and directors of MoneyLion Technologies Inc., and its respective franchisees, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this Sweepstakes (collectively “Released Parties”), and the members of the immediate families or households of any of the above. “Immediate family members” includes, for purposes of this Sweepstakes, parents (including in-laws), grandparents, siblings (including step-siblings), children (including step-children), grandchildren (including step grand-children) and each of their respective spouses.

How to Enter – Two (2) Entry Methods: Below are two entry methods to enter into the Sweepstakes and receive the number of entries as indicated below (each, an “Entry”). The maximum number of total Entries per Eligible Participant is one (1) for the entire Sweepstakes. 

1. Play MoneyLion Games. To qualify for a single, valid Entry, an Eligible Participant may enter the Sweepstakes by satisfying the following requirements during the Sweepstakes Period:
   

• The Eligible Participant must be an active MoneyLion Games user during the Sweepstakes Period.
• The Eligible Participant must reach a Games milestone and receive a cash reward during the Sweepstakes Period.

2. Alternate Means of Entry (“AMOE”) Method: Alternatively, to qualify for a single, valid Entry, an Eligible Participant may enter the Sweepstakes by satisfying the following requirements during the Sweepstakes Period:
   

• Visit the online AMOE form here.
• Fully complete the registration page with all required information, including name, complete address (including city, state and zip), valid email address, birth date, and phone number(s) (including area code(s)).
• Click the submit button to submit your AMOE.
• Each AMOE submission will be the equivalent of one (1) Entry.

The maximum number of total Entries for the entire Sweepstakes Period for each Eligible Participant is capped at one (1). Each Entry must be submitted by the Eligible Participant themselves. Any Entry submitted on behalf of another individual or using another person’s account information will be disqualified and ineligible to claim any Prize (as defined below). No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification and all such Entries will be deemed void. In the event of a dispute as to a specific Entry, the authorized account holder will be deemed to be the Eligible Participant and they must be eligible according to these Official Rules. Sponsor and the other Released Parties are not responsible for any lost, late, misdirected, illegible, incomplete, invalid, unintelligible or otherwise damaged Entries, or for Entries submitted in a manner that is not expressly allowed under these Official Rules, or for any Entry not submitted or received, or otherwise lost, due to any technical error or failure, human or programming error, unauthorized human intervention, inaccurate capture of misentry of any required information, or the failure to capture any such information or effects of hackers or failure of any electronic equipment, computer transmissions and/or network connections; all of which will be disqualified. Sponsor and the other Released Parties are not responsible for any failure on the part of the Eligible Participant to complete a successful qualifying transaction.

By submitting an Entry, the Eligible Participant agrees that Sponsor and its agents are authorized to contact them via email, by physical mail, telephone, or any other form of communication to make them aware of information pertinent to the Sweepstakes. By submitting an Entry, the Eligible Participant also agrees to receive marketing materials or information regarding Sponsor’s featured product(s), special events or promotional offers, or purchase incentives through email or physical mail from Sponsor or its agents. Eligible Participants may opt out of further email communication at any time by clicking on the “unsubscribe” link located in the footer of promotional emails from Sponsor.

All information submitted by an Eligible Participant will be treated according to Sponsor’s Privacy Policy, available at www.moneylion.com/privacy-notice. By participating in the Sweepstakes, Eligible Participants agree to Sponsor’s collection and use of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

The Sweepstakes: Sponsor will select seven (7) winning Entries in a random drawing approximately seven (7) calendar days after the end of the Sweepstakes Period (each, a “Winner”). Odds of winning will depend on the number of Entries received during the Sweepstakes Period. Each Winner will have the option to select either a PS5® console (CFI-2000 model group – slim) or the equivalent ($500) in MoneyLion Reward Points (a “Prize”), which are redeemable for cash credits to the Winner’s RoarMoney℠ demand deposit account provided by Pathward®, N.A., or the Winner’s MoneyLion Investment Account managed by MoneyLion’s subsidiary, ML Wealth LLC. If the model of the PS5® console specified above is unavailable for any reason, the Sponsor reserves the right to substitute the Prize with either MoneyLion Reward Points equivalent to $500 or another prize of equal value, as determined by MoneyLion in its sole discretion.

If a Winner opts to receive a PS5® console (CFI-2000 model group – slim), they agree to provide all necessary information and documentation requested by Sponsor, including but not limited to identification, contact information and delivery instructions, and any other information required to facilitate the delivery of the prize. Failure to provide the requested information or documentation within the specified time frame may result in forfeiture of the Prize, and an alternate Winner may be selected at Sponsor’s sole discretion. Sponsor is not responsible for delays or inability to deliver the Prize due to incomplete or inaccurate information provided by the winner. If a Winner opts to receive the equivalent of a PS5® console (CFI-2000 model group – slim) in Reward Points, they agree to abide by the MoneyLion Rewards Program Terms and Conditions, which must be met for the Winner to receive the Prize in Reward Points as part of this Sweepstakes. Winners will have the option to receive a check made payable to their order in lieu of the credit into the Winner’s MoneyLion account if they do not have an open MoneyLion RoarMoney or Investment account. Any Winner that does not have an open MoneyLion RoarMoney or Investment account will be required to complete a Form W-9 within seven (7) calendar days of notification or may be disqualified from receiving the Prize at Sponsor’s sole discretion. 

Each Eligible Participant can receive up to a maximum of one (1) Prize during the Sweepstakes.

Prize Conditions: By participating in the Sweepstakes, a Winner authorizes Sponsor or its agent to deposit any Prize into their MoneyLion Rewards account. By accepting a Prize, the Winner agrees to release Sponsor and the Released Parties, and each of their respective directors, officers, employees, representatives and agents, from any and all liability whatsoever for any injuries, losses, or damages of any kind by entering the Sweepstakes or for damages of any kind caused by the Prize or resulting from acceptance, possession, or use/misuse of the Prize awarded. All local, state and federal taxes are solely the responsibility of the Winner. An IRS form 1099 will be issued if required by law. Winners may be required to complete and sign an Affidavit of Eligibility and Liability/Publicity Release form provided to them to be returned within two (2) business days of written notification, or the Prize may be forfeited and, at Sponsor’s discretion, an alternate Winner selected. The Sponsor reserves the right at its sole discretion to substitute a prize package with another prize of equal value in the event that the stated Prize (or any component thereof) is not available. If a potential Winner fails to respond to the Sponsor’s notification within two (2) business days of the initial contact by Sponsor, then such person may be disqualified and an alternate Winner will be selected at random. Prizes are not transferable or assignable.

Additional Rules & Restrictions: By participating in this Sweepstakes, an Eligible Participant agrees to abide by and be bound by the Official Rules, and the decisions of Sponsor shall be final in all matters relating to this Sweepstakes. If a Winner is found to be in violation of these Official Rules, they will be required to forfeit the Prize or reimburse Sponsor for the stated value of the Prize. False, fraudulent, or deceptive Entries or acts shall render Eligible Participants ineligible for a Prize. 

By accepting a Prize, where permitted by law, the Winner grants to the Sponsor, its parents, subsidiaries, and related companies, and those acting pursuant to the authority of the Sponsor, a revocable, perpetual right to print, publish, broadcast, and use worldwide IN ALL MEDIA without limitation at any time the Winner’s name, RoarTag, and/or likeness for advertising, trade and promotional purposes without limitation or further compensation, and without review, approval or notification, unless prohibited by law. Winners may revoke this license and opt out of any such further use by calling 1-888-704-6970 or by emailing Sponsor at [email protected], except that such opt out shall not apply to any uses that were already publicly disseminated (including on MoneyLion websites or the MoneyLion mobile app) prior to the Winner’s exercise of this opt out right. IN NO EVENT WILL SPONSOR, THE RELEASED PARTIES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF THIS SECTION MAY NOT APPLY TO YOU. By participating, Eligible Participant release and agree to hold harmless the Sponsor, the Released Parties and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or of, or any harm resulting from the acceptance, possession, use of misuse of a Prize. Winners acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relating to a Prize. Sponsor may disqualify an Eligible Participant’s Entry if they are deemed to have violated these Official Rules. Persons found tampering with or abusing any aspect of this Sweepstakes or who are in violation of these Official Rules as solely determined by the Sponsor will be disqualified and all associated Entries will be void. Use of script, macro or automated entry software or programs or any other means that subvert the entry process is prohibited and all such Entries will be void. In the event this Sweepstakes is compromised by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of this Sweepstakes, or if this Sweepstakes is unable to run as planned for any other reason, Sponsor reserves the right in its sole discretion to modify, suspend or terminate this Sweepstakes or any portion thereof and/or terminate the participation of any Eligible Participants (and void their Entry/ies) whose conduct potentially compromises this Sweepstakes and at its sole discretion, if terminated, to award the Prize(s) from among all eligible non-suspect Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

DISPUTES: EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE THAT (A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; AND (B) YOU ACKNOWLEDGE THAT, UNLESS YOU HAVE OPTED OUT, THE DISPUTES AGREEMENT TO WHICH YOU ARE ALREADY A PARTY EXTENDS TO THESE OFFICIAL RULES, AND THE DEFINITION OF “CLAIM” INCLUDES ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY COMPENSATION OR CREDIT TO BE PROVIDED.

Prize: Up to $3,500 in the aggregate will be given away to up to seven (7) Winners for this Sweepstakes.  

Odds: Seven (7) Winners will be selected in a random drawing from among all Entries received during the Sweepstakes Period. The random drawings will take place within around seven (7) calendar days after the end of the Sweepstakes Period. Odds of winning depend upon the number of Entries received in the Sweepstakes Period. All random drawings will be conducted by Sponsor. 

Winners List: For a copy of these Official Rules or for a list of Winner(s), if any, send a self-addressed, stamped envelope to: MoneyLion Games – Playstation 5 (PS5) Sweepstakes, P.O. Box 1547, Sandy, Utah 84091-1547. Requests must be received by January 31, 2025. Please specify which document you are requesting. Residents of Vermont may exclude return postage.
